Job Description
We are seeking an experienced and strategic Junior Tax Attorney to join our dynamic and collaborative team in Davis, California. This role is ideal for a legal professional with a passion for navigating complex tax matters and delivering exceptional client service. The successful candidate will advise individuals, businesses, and trusts on a wide range of tax issues, playing a critical role in planning, transactions, compliance, and dispute resolution.
Full Salary Range: $115,000 – $135,000 is the full salary range (position is starting ~120,000 - $125,000 based on experience)
Responsibilities:
Tax Planning & Advisory
• Design and implementation of tax strategies for businesses, individuals, and fiduciaries under partner supervision.
• Model alternatives and advise on entity choice, basis, allocation, and distribution planning to promote long‑term tax efficiency and compliance.
• Prepare client‑facing summaries that translate complex rules into clear, actionable guidance.
Transactional Support • Assist with tax aspects of formations, reorganizations, mergers, and acquisitions.
• Draft tax sections of deal documents, disclosure schedules, and closing checklists.
• Build pro‑forma models to analyze and structure transactions to minimize tax exposure and enhance after‑tax value.
Dispute Resolution & Representation • Represent clients before the IRS, FTB, CDTFA, and EDD in audits, protests, appeals, and collection matters (with attorney supervision as needed).
• Draft IDR responses, protests, penalty abatement requests, installment agreements, offers in compromise, and closing agreements.
• Prepare for and attend conferences, mediations, and hearings; develop defense strategies that reduce litigation risk and position for efficient resolution.
Research & Legal Analysis • Monitor changes in federal and California tax law; draft internal memoranda, legal briefs, and client advisories.
• Build and maintain practical checklists, templates, and knowledge‑base notes to speed recurring tasks and ensure consistency.
Client Relationship Management • Serve as an accessible, trusted point of contact on day‑to‑day tax questions, own timelines, and status updates.
• Tailor advice to the client’s risk tolerance and business objectives; document recommendations and next steps.
Interdisciplinary Collaboration • Partner with corporate, estate planning, and litigation colleagues to deliver integrated solutions (e.g., buy‑sell agreements, trust taxation, dispute settlements).
• Coordinate with accountants and financial advisors to align tax, accounting, and reporting outcomes.
Practice Development • Contribute to business development through writing, webinars, community presentations, and referral‑partner relationships.
• Track matter metrics and help refine internal processes for quality, efficiency, and knowledge retention.
Firmwide Support (Beyond Tax) - May Assist in the Following Areas • Focus on tax specialty - with flexibility to contribute across practice areas.
• Estates & Trusts / Probate: support trustees, personal representatives, and beneficiaries on fiduciary income tax issues, basis and allocation, distribution planning, and the tax treatment of probate accountings and settlements.
• Business Law: assist with entity formations, operating agreements, buy‑sell provisions, capitalization tables, and compliance calendars.
• Civil Litigation: analyze tax treatment of settlements and judgments, prepare damages/interest and tax gross‑up calculations, advise on information‑return and withholding obligations, and support discovery and expert workups.
• Offers in Compromise & Collections: prepare and advise on offers in compromise, installment agreements, penalty abatement, and lien/levy releases in matters that intersect with probate, dissolutions, and business wind‑downs.
• Training & Quick Guides: deliver short trainings and checklists to non‑tax teams on record retention, reporting triggers, confidentiality of taxpayer information, and settlement tax allocations.
Qualifications:
• Juris Doctor (JD) from an accredited law school (required).
• Active member in good standing of the California State Bar.
• Minimum of 1-2 years of experience in the field, with exposure to both planning and controversy matters.
• Deep knowledge of federal, California, and local tax law.
• Exceptional research, writing, and analytical skills.
• Excellent communication and interpersonal abilities.
• Strong team orientation and willingness to collaborate across disciplines.
• LL.M. in Taxation and/or CPA credential is a plus.
